State LLC fees move every year, and the official fee page is not always the law. Louisiana raised its LLC formation fee from $100 to $125 and its annual report from $30 to $35 on October 1, 2026, under Act 921. Vermont’s statute has charged $155 to form and $45 a year since 2023, while the Secretary of State’s web page still shows $125 and $35.

Fees cut both ways. New Jersey dropped its certificate of formation from $125 to $100 on July 1, 2026. Kansas cut its articles of organization fee to $75 plus a separate $10 entity fee by regulation effective February 27, 2026. Iowa began selling expedited filings at $15 for five days up to $200 for one hour. Texas raised its franchise tax no-tax-due threshold to $2,650,000 for 2026 and 2027 reports, and West Virginia now lets an LLC with five years of timely reports file a $50 biennial report instead of a $25 annual one.

When a state’s statute and its fee page disagree, the statute sets the fee, so budget for the statutory amount.

The structuring consequence

Fees multiply by entity count. A real estate operator with twenty single-asset LLCs feels a $5 annual report increase as $100 a year, and Delaware’s increase to $400 (tracked in its own dossier) as $2,000 more a year. Louisiana’s foreign registration now costs $185, which belongs in the comparison between forming in Louisiana and qualifying an out-of-state LLC there.

What we are watching

The effective date of Kansas’s announced alignment of LLC formation with its $90 corporate fee. A Massachusetts bill that would cut LLC formation to $150 and the annual report to $50 from January 1, 2027 shows no committee action and is not law. Our 51-state fee tables are updated as changes are confirmed.
