I'm your LLC guy.

I am Tzvi Weiser. People call me the LLC guy, and I have spent years inside the part of the deal nobody reads: the entity structure and the operating agreement, where control, profit, and survival actually get decided.

I work across three worlds that turn out to be one world. In real estate, I wrote The Most Dangerous Book in Real Estate about the operating agreement clauses that decide who controls the company and who gets left holding the bag. In ABA and healthcare, I run ABAWiser, a compliance research and advisory practice for ABA operators, and WiseUpHIPAA, a HIPAA compliance platform built for ABA clinics. And for startups, I write about the entity layer underneath the cap table, the structure holding the shares everyone obsesses over.

I passed the New York bar and was admitted to practice, but I chose the operator's side: I never practiced, and I let the membership lapse. I hold an MBA alongside the law degree. I am not a practicing attorney, and nothing here is legal advice. What I do is the layer before the lawyers: reading the rules, mapping your structure against them, and making the legal engagement narrow and cheap instead of open ended. Why this exists

Most writing about LLCs is rewritten boilerplate built to sell you something. This is the opposite. It is what I actually tell operators, written plainly, with a point of view.
