Alaska LLC filing: a high entry fee, a low yearly cost, and two calendars to watch

Alaska costs $250 to form and about $100 a year to keep, but the two deadlines run on different calendars.

Naming the company

An Alaska LLC’s name must include “LLC,” “L.L.C.,” or “limited liability company,” and it has to be distinguishable from other names in the state’s database.

An Alaska LLC name must carry an LLC designator and be distinct from every registered name.

A business name or DBA registration costs $25 and lasts five years. A name reservation also costs $25 and holds a name for 120 days.

Forming the LLC

Formation is a single filing, the Articles of Organization, with the state.

The filing fee is $250, high compared with Wyoming’s $100 or the $150 or so in many states. Filed online, the LLC is approved immediately; by mail, processing runs 10 to 15 business days, and paper filings cannot be expedited. An Initial Report is due within six months of formation, and it carries no fee.

The registered agent

Every Alaska LLC must maintain a registered agent with a physical Alaska address.

An Alaska LLC needs a registered agent with a real Alaska street address.

A post office box does not qualify. You can act as your own agent with an Alaska address, though doing so puts your address on the public record, or hire a commercial agent for a separate fee.

Two deadlines that do not match

Alaska’s ongoing cost is low, but it comes in two filings on two different clocks, which is where owners slip.

Watch two calendars in Alaska: a biennial report due January 2, and a business license due December 31.

The Biennial Report costs $100 for a domestic LLC, $200 for a foreign one, and is due January 2 of every other year on your odd or even cycle, delinquent after February 1. Separately, nearly every Alaska LLC must hold a state Business License at $50 a year, or $100 for two years, filed with the Division of Business Licensing and expiring December 31. The two run on different schedules, so set two reminders. Averaged out, the recurring state cost is roughly $100 a year.

Registering a company from another state

An LLC formed elsewhere that does business in Alaska registers as a foreign LLC. The foreign biennial report is $200. A company transacting business in Alaska without registering risks losing access to the state’s courts until it registers and pays what it owes.

Forming an Alaska LLC costs $250, higher than most states, and the online filing is approved immediately.
