Operating Agreements
The operating agreement is the only contract you sign with your future enemy

Every operating agreement I have ever seen blow up was signed on a good day. The deal was exciting, the partners trusted each other, and the document was a formality somebody downloaded between phone calls. That is the problem. You write the operating agreement when everyone is friends, and you read it for the first time when one of you wants out and the other one wants to win.
So write it for the bad day, not the good one.
Who decides when you cannot agree
Most agreements I review handle the easy case beautifully. Profits split this way, capital contributed that way, everyone signs. Then I ask one question: what happens when two equal partners want opposite things and neither will move. Silence. There is no tiebreaker, no buy-sell trigger, no mechanism. The company is now hostage to a coin that never gets flipped.
Deadlock is the single most common way a good partnership dies. Name the tiebreaker now, in writing, before you have any idea which side of it you will be standing on. That is the only moment you can be fair, because it is the only moment you do not know who it helps.
The transfer you did not see coming
You picked your partner. You did not pick your partner’s ex-spouse, your partner’s creditors, or whoever inherits the membership interest when your partner dies. Without a transfer restriction, any of them can walk into your company through a door you left open.
A real operating agreement controls who can own a piece of the company and on what terms. None of this is exotic. All of it is missing from the template you were about to use.
Why the template is dangerous
A free template is not neutral. It is a set of defaults written for nobody, which means it was written for the other side. The blank you skipped becomes the state default rule, and that rule was not designed around your company.
Read it like you have already lost the friendship. If it still protects you on that day, it is a good agreement. If it only works while everyone is getting along, you do not have an agreement. You have a souvenir from a good day.
